Kerry spent his career building Adams Granite into a leading name in the granite carving and manufacturing industry. With retirement on the horizon, Kerry wanted to ensure that his life’s work was passed on to capable hands and that his legacy continued. We met Kerry through his business broker and we became his trusted advisors through the sale process.
The nature of Adams Granite presented several unique deal challenges. The inventory included massive slabs of specialty granite that could remain unsold for years, requiring careful valuation and negotiation. The company was bound by collective bargaining agreements with portions of its workforce. The business’s supply chain included numerous international vendors spread across continents. In conjunction, these things added layers of complexity to the transaction and demanded meticulous attention to detail and strategic planning.
Kerry found an independent sponsor with a genuine passion for the business and a vision for the company’s future. As we moved forward with negotiations, we encountered tough moments, particularly concerning working capital, with significant financial swings at stake. Deploying all of our expertise and unwavering dedication, we surmounted these obstacles. Throughout the process, we maintained open communication with Kerry, explaining each step and addressing his concerns. We tailored our negotiating approach to balance Kerry’s desire for a seamless exit with his need to protect himself from post-closing headaches.
The closing process was intricate, but we kept everything on track by addressing last-minute issues promptly and efficiently. We continued to support Kerry after closing through minor amendments to the purchase agreement to reflect the final working capital adjustments and other small changes, all at no additional cost under our flat-fee structure.
